1. Purpose

This Agreement sets out the terms under which Thursday (Honeypot Dating Ltd) (“Thursday”) partners with the Venue to host singles events. The Venue provides space and services, and Thursday provides marketing, ticketing, and attendee management.

2. Responsibilities of the Venue

The Venue agrees to:

- Provide the agreed areas and services (food, drink, staff, security, equipment) as set out in the Event Summary.

- Maintain all necessary licenses, permits, and insurances for hosting the Event.

- Ensure compliance with all local laws and health & safety regulations.

- Permit only Thursday ticket holders to attend the Event.

- Treat all Thursday guests in line with Thursday’s Code of Conduct.

- Allow filming and photography for Thursday’s marketing purposes.

- Notify Thursday immediately of any material changes affecting the Venue’s ability to host the Event.

3. Responsibilities of Thursday

Thursday agrees to:

- Promote and market the Event via Thursday’s platform and marketing channels.

- Manage guest ticketing through Thursday’s app/approved system.

- Supply any agreed event materials (e.g. DJs, signage, decorations).

- Work with the Venue team to ensure smooth event delivery.

4. Cancellation

Once a table/area/venue is confirmed for Thursday’s event, if the Venue cancels, the Venue will be liable for a cancellation fee equal to 50% of the projected ticket sales revenue for that table/area.

Thursday may cancel the Event at any time by providing notice in writing and it’s not within 24 hours of the event start date and time.

5. Liability & Indemnity

- Each Party is responsible for its own operations, staff, and liabilities.

- The Venue is responsible for the customer experience on-site and indemnifies Thursday against claims arising from Venue operations.

- Neither Party is liable for indirect or consequential losses.

- Each Party maintains appropriate insurance coverage.

6. Data Protection

Each Party will comply with applicable data protection and privacy laws in their jurisdiction.

7. Force Majeure

Neither Party will be liable for failure to perform due to events beyond reasonable control, including but not limited to strikes, natural disasters, government closures, or terrorism.

8. General Terms

- Confidentiality: Both Parties agree to keep commercial information confidential.

- Entire Agreement: This document is the full understanding between the Parties.

- Variation: Must be agreed in writing by both Parties.

- Severability: Invalid terms do not affect the rest of the Agreement.

- Third Party Rights: No rights for third parties to enforce this Agreement.

- Governing Law & Jurisdiction: This Agreement shall be governed by the laws of England & Wales, unless otherwise agreed in writing.
